Windows 2000 to 2012 Essentials

I have a friend who would like me to upgrade some equipment in his small business.  I have quite a bit of experience with servers, but not a lot with Microsoft servers.

They currently have two PCs running Windows 2000 server (these are mini tower machines; one is called a server by Dell, but really has no features you'd expect in a server like N+1 power supply, hot swap disks, etc.).  One is dual NIC, connected to both DSL gateway and LAN,  serving firewall and DNS/active dir. purposes.  The other is on the LAN and doing file serving for about 20 computers and running ERP software (ERP itself requires MS SQL 2000).  

I am asked to upgrade software to WS 2012 and ERP to a different system (I am not sure if that requires MS SQL or not).  

Of note, there are a few PCs that need to run XP for specific software.

I doubt there are any sort of migration tools available for this jump.  So I am wondering what the best way to approach it is.
